GoCerise Terms of Service
These Terms of Service (“Terms”) form a legal agreement between you and 17695969 Canada Inc., doing business as GoCerise, (“GoCerise,” “gocerise,” “we,” “us,” or “our”) governing your access to and use of www.gocerise.com, our mobile application, and related services, including any content, features, and functionality made available through them (collectively, the “Service”).
Please read these Terms carefully. By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.
About the Service
GoCerise is a mobile application which helps you compare grocery prices and plan cheaper shopping trips.
Fees
The Service is currently provided free of charge, and we do not charge you to access or use it. We reserve the right to introduce fees or paid features in the future. Before charging you, we will clearly disclose the applicable fees and payment terms. We do not currently request or collect payment-card information through the Service.
Privacy

Who May Use the Service
You must be at least 14 years old to use the Service. By accessing or using the Service, you confirm you meet this requirement.
General Prohibitions and Acceptable Use
You agree not to use the Service for any unlawful purpose and only in accordance with these Terms. You must not violate any applicable law, regulation, court order, or third-party right; attempt to gain unauthorized access to the Service or its systems; scrape, crawl, or extract data from the Service using automated means; reverse engineer or decompile the application; copy, reproduce, republish, resell, or commercially exploit data or content obtained through the Service; upload malicious content or attempt to interfere with the Service; make excessive requests or otherwise place an unreasonable burden on the Service or its infrastructure.
User-Generated Content and Local Storage
You retain all rights to any content you create within the Service, including shopping lists, trip history, spending history, and personal preferences ("User Content"). Since User Content is stored locally on your device only and is never transmitted to, stored on, or processed by our servers, we do not collect, access, monitor, or control your User Content. Our servers do not store your User Content, and we cannot recover it if lost locally on your device. If you reinstall the app or switch devices, your User Content will not transfer. We do not warrant that User Content will be preserved if your device is lost, damaged, or reset. We are not responsible for loss, corruption, or unavailability of User Content stored locally on your device, including loss resulting from device malfunction, software bugs affecting local storage, app crashes, or reinstallation.
Intellectual Property
The Service and its components, including the software, source and object code, user interface, visual design, text, graphics, audiovisual content, documentation, compilations, databases, functionality, and Company trademarks, trade names, logos, and other branding, are owned by GoCerise or used under licence and are protected by applicable intellectual-property laws. All rights not expressly granted in these Terms are reserved by the Company and its licensors. This provision does not apply to third-party content or materials, which remain the property of their respective owners. You may not copy, modify, distribute, or create derivative works based on GoCerise without our written permission.
Price Sources and Accuracy
To enable users to compare grocery prices, we obtain product pricing and availability information, and related data, from publicly available sources. We update this information periodically, but it may not reflect real-time changes. In-store prices, promotions, availability, package sizes, and product information may change without notice and may vary by retailer location, store, date, membership status, and applicable conditions. Information displayed through the Service is provided for general comparison and planning purposes only and may be incomplete, delayed, or inaccurate. We are not responsible for discrepancies between displayed prices and in-store prices. Always verify final pricing at the point of purchase.
Links to and Integration with Third-Party Services
The Service may contain links to third-party websites or resources and may offer integration with third-party websites or services. We integrate with third-party services including Apple and Google Maps, for providing a seamless UI integration; Supabase, for email newsletter; Railway, for hosting; DeepL, for translation services. Your use of these services is subject to their respective terms and privacy policies. We are not responsible for third-party service availability or practices.
Feedback
We welcome feedback, comments and suggestions for improvements to the Service (“Feedback”) by emailing us at help@gocerise.com or filling out our in-app feedback form. As we need to be able to freely work with your Feedback to improve the Service, you hereby irrevocably transfer and assign all right, title and interest (including all intellectual property rights, such as copyrights or trade secrets) in and to the Feedback, including any and all “moral rights” that you might have in such Feedback, and you hereby forever waive and agree never to assert any and all “moral rights” you may have in the Feedback.
Governing Law
These Terms are governed by and interpreted in accordance with the laws of the Province of Quebec and the federal laws of Canada applicable therein, without regard to conflict-of-law principles.
Indemnity
You will indemnify and hold harmless us and our officers, directors, employees and agents, from and against any claims, disputes, demands, liabilities, damages, losses, and costs and expenses, including, without limitation, reasonable legal and accounting fees, arising out of or in any way connected with (i) your access to or use of the Service; or (ii) your violation of these Terms.
Limitation of Liability
To the maximum extent permitted by applicable law, the Service is provided "as is" without warranties of any kind, express or implied. We do not guarantee uninterrupted or error-free service. Information provided through the Service may be incomplete, outdated, or inaccurate. You are responsible for verifying information before relying on it, including prices, ingredients, allergens, and nutritional information. We are not responsible for losses resulting from reliance on inaccurate, incomplete, or outdated information. The Service is not medical, nutritional, or dietary advice.
To the maximum extent permitted by applicable law, we will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, or for loss of profits, revenue, business, data, or goodwill, arising from or related to your use of, or inability to use, the Service.
To the maximum extent permitted by applicable law, our total aggregate liability arising out of or related to the Service will not exceed $100 CAD.
Changes to These Terms
We may update these Terms at any time. We will post the most current version of these Terms on www.gocerise.com. We will endeavour to communicate with reasonable advance notice of any change to the Terms that, in our sole determination, materially affects your rights or your use of the Services, through our app or website. The "Last updated" date indicates the most recent revision. Continued use of our services after changes constitutes acceptance and agreement to be bound by the new Terms.
Changes to These Services
We may, in our sole discretion, add, change, or remove features or functionality of the Services; modify or introduce limitations to features; or discontinue the Services altogether at any time without notice.
Severability
The invalidity or unenforceability of any provision of these Terms will not affect the validity or enforceability of any other provision of these Terms and it is the intent and agreement of the parties that these Terms will be deemed amended by modifying such provision to the extent necessary to render it valid, legal, and enforceable while preserving its intent or, if such modification is not possible, by substituting another provision that is legal and enforceable and that achieves the same objective.
Entire Agreement
These Terms constitute the entire and exclusive understanding and agreement between us and you regarding the Service, and these Terms supersede and replace any and all prior oral or written understandings or agreements between us and you regarding the Service.
Assignment
You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. Any attempt by you to assign or transfer these Terms, without such consent, will be null and void.
No Partnership
No agency, partnership, joint venture, or employment is created as a result of these Terms, and neither party has any authority of any kind to bind the other party in any respect whatsoever.
No Waiver
Our failure or delay in enforcing any right or provision of these Terms does not waive that right or provision. Any waiver must be express and in writing, and a waiver of one breach does not constitute a waiver of any other breach.
